Terms and Conditions

1. Scope
These Terms and Conditions govern services provided by AlpiCode (web, e-commerce, SEO, IT architecture, cybersecurity, maintenance, and support).
Any order or quote acceptance implies full acceptance of these terms.
2. Quotes and Orders
Each project is subject to a detailed quote valid for 30 days.
Work begins upon written approval by the client and, where applicable, payment of the agreed deposit.
3. Pricing and Payment Terms
- Prices are stated in CHF, excluding VAT where applicable.
- Deposit: 40% upon order, unless stated otherwise.
- Balance: due on delivery or according to the agreed schedule.
- Payment deadline: 15 days from invoice date.
- Late payment: default interest of 5% per year after formal notice.
4. Performance and Deliverables
AlpiCode performs services with due care and in line with professional standards.
Deadlines are estimates unless expressly agreed otherwise.
The client must provide all required inputs within agreed timelines.
5. Validation and Acceptance
The client has 7 business days after delivery to provide feedback.
After this period, the deliverable is deemed accepted.
Any change request outside the initial scope is subject to a separate quotation.
6. Intellectual Property
- Source code and custom deliverables are transferred after full payment.
- Third-party tools/frameworks remain subject to their own licenses.
- AlpiCode may reference completed work in its portfolio unless the client objects in writing.
7. Confidentiality
Both parties must keep confidential all information exchanged during the project and for 2 years after its end.
8. Liability and Warranties
- Best-efforts obligation.
- Liability limited to amounts paid for the relevant service.
- No liability for indirect damages.
- The client is responsible for backups and legal compliance of provided content.
9. Maintenance and Support
Maintenance and support services are defined in a separate service agreement (SLA).
Without a maintenance contract, no support obligation applies after final delivery.
10. Termination
- The client may terminate in writing; work already completed remains payable.
- In case of serious breach, either party may terminate after formal notice and a 15-day cure period.
11. Force Majeure
Neither party is liable for delays or failures caused by force majeure events under Swiss legal principles.
12. Applicable Law and Jurisdiction
These terms are governed by Swiss law.
Failing amicable resolution, disputes are submitted to the courts of the canton of Fribourg, Switzerland.
13. Changes
AlpiCode may update these terms; changes do not apply retroactively to already signed contracts.
